Supplier Terms

These Supplier Terms apply in addition to our Terms of Service whenever you submit inventory to, or receive a request for quote ("RFQ") through, Sparehawk (operated by [COMPANY]) as a supplier.

1. Your relationship with Sparehawk

You (the "Supplier") remain an independent business. Sparehawk is a sourcing intermediary: we surface your inventory to buyers searching for a matching part number, and we forward buyer RFQs to you. Sparehawk is not a party to any resulting sale between you and a buyer — pricing, quoting, contracting, invoicing, and fulfilment are entirely between you and the buyer.

2. Accuracy of the inventory you submit

You are responsible for the accuracy of the part numbers, manufacturer, condition, quantity, and any other data you submit to us. In particular:

• Do not submit a part as new / OEM unless it genuinely is; misrepresenting condition harms buyer trust in the whole platform and may result in your listing being suspended.
• Keep quantity and lead-time data reasonably current — remove or update inventory you can no longer supply within a reasonable time of the change.
• You are solely responsible for ensuring you are legally entitled to sell any part you list (including, where relevant, that it is not subject to an export restriction, counterfeit, or otherwise unlawful to resell).

3. Buyer contact data: controller-to-controller sharing

When we forward you a buyer's RFQ, we share the buyer's name, company, contact details, and requested part(s) with you so that you can respond with a quote. From that point, you act as an independent data controller of that buyer data (not a processor acting on Sparehawk's instructions) for anything you do with it beyond responding to that specific enquiry. This means, in particular:

• You may not use a buyer's contact data for marketing, newsletters, or any purpose unrelated to the specific RFQ, without that buyer's separate, freely given consent.
• You are responsible for your own compliance with applicable data protection law (including the GDPR, if applicable) for however you store, use, and eventually delete that buyer's data.
• You will not sell, rent, or otherwise transfer a buyer's contact data to a third party.

4. Fees and subscription

• Plans. Listing on Sparehawk is billed as a monthly subscription whose plan depends on the number of your active listings — the offers buyers can see on your storefront. The current plans, limits and prices (in euros, per month) are published on the pricing page and apply as published there. A plan that covers up to the free limit costs nothing and never requires a payment method.
• Free trial. Every supplier account starts with a free trial (currently 90 days from registration, or from the date billing started for accounts that existed before it). No payment method is needed during the trial.
• Automatic plan changes. Your plan follows your count of active listings. When the count calls for a higher plan, the change takes effect immediately and the difference for the rest of the billing period is charged pro rata; when it calls for a lower plan, the change takes effect at the end of the billing period.
• Payment. Subscriptions are billed monthly in advance by card through our payment provider, Stripe. You can update your payment method, download invoices and cancel at any time in the billing portal linked from your cabinet; a cancellation takes effect at the end of the paid period. • Failed payments. If a payment fails, or the trial ends while your listings call for a paid plan and no payment method is on file, your offers stay online for 14 days. After that they are hidden from public search and browse until the outstanding amount is paid; nothing is deleted, and your offers become visible again once payment succeeds.
• No commission. Sparehawk takes no commission on any sale between you and a buyer and is not involved in the payment for parts.
• Price changes. We will announce any change to the plans or prices on the pricing page and by e-mail at least [30] days before it applies to your subscription.

5. No exclusivity

Listing your inventory on Sparehawk does not create any exclusivity in either direction: you may list the same inventory elsewhere, and Sparehawk may work with other suppliers of the same or competing parts.

6. Suspension

We may suspend or remove a listing, or your supplier account, if we reasonably believe you have submitted materially inaccurate inventory data, misused buyer contact data in breach of Section 3, or otherwise breached these Supplier Terms or our Terms of Service.
